- Areas of Practice
Our practice is structured around 6 core areas: Corporate Advisory and General Commercial; Tax Advisory and Litigation; Corporate Transactions and M&A; Family Offices; Commercial Disputes and Litigation and Domestic and International Arbitration. These areas are complementary by design. Experience in transactions informs the firm’s approach to disputes; tax expertise sharpens deal structuring; and familiarity with litigation and arbitration strengthens the quality of transactional risk advice. The benefit is single mind and a sharp focus across all of these dimensions.
Corporate Advisory and General Commercial
We act as a trusted external counsel for corporates, promoters, and business groups on a range of general corporate and commercial matters. This advisory function goes beyond one-off transactional work; the firm maintains ongoing retainer-style relationships with clients across manufacturing, technology, and infrastructure sectors, advising on the legal and commercial dimensions of their day-to-day operations.
Advisory work in this area includes:
- contract review, negotiation, and risk assessment,
- corporate governance and board-level advisory,
- employment and labour law matter relevant to manufacturing clients,
- regulatory compliance advisory and commercial legal strategy.
Our corporate advisory practice is defined by a fundamentally business oriented approach. Advice is delivered with an understanding of the client’s business objectives and operational realities, not merely the legal position in isolation. This makes us particularly effective as a trusted long-term counsel rather than a transactional service provider.
Tax Advisory and Litigation
We have a substantial tax practice covering both direct and indirect taxation, with a strong emphasis on tax litigation and transaction-linked tax advisory. Shrenik’s background as a Chartered Accountant gives the firm a depth of technical capability that is unusual in a disputes-oriented practice.
The firm regularly advises and litigates on matters involving:
- GST and Customs disputes, show cause notices, and appellate strategy and proceedings across all levels of the hierarchy,
- Income-tax appellate proceedings,
- tax implications arising from corporate transactions and restructurings,
- Tax advisory related matters
We regularly appear before the Income Tax Appellate Tribunal, GST appellate forums, and higher judicial forums including various High Courts and Supreme Court on select matters. Our tax work spans both advisory and litigation on a pan-India basis, with a particular emphasis on matters where tax strategy and commercial structuring must be considered together. This practice is especially relevant for manufacturing groups, multinational enterprises, and promoter-led conglomerates operating across multiple jurisdictions.
Corporate Transactions and M&A
We advise clients on corporate transactions across the full deal spectrum, with particular strength in investment transactions, joint ventures, and business reorganisations. Shrenik Gandhi has personally advised on transactions aggregating over INR 3,000 crores in deal value, working closely with promoters, boards, and investors to structure, negotiate, and close transactions in a commercially sound and legally defensible manner.
Work in this area includes:
- mergers, acquisitions, and business combinations,
- private equity and strategic investment transactions,
- joint venture and collaboration agreements,
- shareholders’ agreements and share subscription arrangements,
- technical collaboration agreements, and
- corporate reorganisation and group restructuring advisory,
- financial structuring in the context of transactions and dispute resolution,
Our dual legal and financial expertise allows us to engage meaningfully with deal economics, and tax structuring implications from the earliest stages of a transaction. This is particularly valued by promoters and family-owned enterprises, where transactional decisions often carry long-term governance and succession consequences.
Family Office
We advise family offices, promoter groups, and high-net-worth individuals on the full range of legal and commercial matters that arise from the ownership, governance, and stewardship of privately held wealth and business interests. Our work in this area is defined by the breadth of issues that family offices encounter across generations: from the structuring of investments and the governance of operating businesses, to disputes that arise when ownership transitions, relationships change, or commercial arrangements fail.
Work in this area includes:
- governance structuring and family constitution advisory,
- succession planning and inter-generational transfer of business interests,
- shareholders' agreements and family arrangement documentation,
- disputes arising from promoter conflicts, management control, and minority rights,
- tax advisory and structuring in the context of wealth reorganisation and asset transfers,
- transaction advisory on acquisitions, investments, and exits by family-owned entities.
Our approach with family office clients is particularly suited to matters where legal, financial, and interpersonal dimensions intersect. Shrenik Gandhi's dual qualification as a Lawyer and Chartered Accountant, combined with direct senior involvement in every engagement, makes the firm well-placed to advise family offices and promoter groups on matters that require both technical rigour and the commercial sensitivity that complex family arrangements demand.
Commercial Disputes and Litigation
We handle complex commercial and corporate disputes before courts and tribunals, with particular depth in civil disputes, shareholder and promoter disputes, governance conflicts, and matters arising from corporate transactions and long-term contracts. We appear regularly before the civil/district courts in Pune, Hon’ble Bombay High Court, Hon’ble NCLT Mumbai, Hon’ble NCLAT Delhi, and the Hon’ble Supreme Court on select high-value matters.
Disputes handled include:
- civil litigation relating to commercial matters,
- oppression and mismanagement proceedings,
- shareholder and promoter conflicts in family-owned and closely-held enterprises,
- commercial contract disputes involving termination, performance, and financial claims,
- corporate governance and management control disputes,
- post-transaction disputes arising from M&A and investment transactions,
- writ petitions/appeal before the High Court on commercial and regulatory matters.
Our litigation approach is preparation-intensive and strategically grounded. Shrenik Gandhi is known for an aggressive and precise advocacy style, with a particular ability to isolate the core commercial issues within complex factual matrices and build arguments around commercial, financial and documentary evidence rather than procedural positioning.
Domestic and International Arbitration
We act as counsel in both domestic and international arbitration proceedings, and Shrenik Gandhi also sits as an independent arbitrator through his outfit Shrenik Gandhi Arbitration, Singapore. Our arbitration practice spans institutionally (both domestic and international) administered proceedings, ad hoc arbitrations, and arbitration-related litigation before the Indian courts, including enforcement and challenge proceedings.
Arbitration experience includes:
- cross-border commercial contract disputes,
- disputes arising from infrastructure, EPC, and energy contracts,
- shareholder and joint venture disputes,
- financial disputes,
- enforcement and challenge of arbitral awards before Indian courts.
The firm is particularly effective in arbitrations where complex evidence, expert testimony, and damages analysis play a central role. Shrenik’s dual qualification and background in finance/commercial and accounting enables us to engage directly with complex records and expert material in a way that purely legally trained counsel may not. He is also a Fellow of the Chartered Institute of Arbitrators (FCIArb) and a member of Nine Arbitration Chambers, Singapore.
